What is a proxy statement?


A proxy statement (or “proxy”) is a form that every publicly traded U.S. company is required to file with the U.S. Securities & Exchange Commission (SEC) within 120 days after the end of its fiscal year. All together, JPMorgan Chase has an over 200-year history. 

As we’ve reported before, it played an indirect role in killing America’s first Secretary of the Treasury, winning World War I, contributing to the 2008 financial crisis, and helping avert a more catastrophic financial disaster. 

Naturally, people who work for a firm of such influence get paid quite well — judging by the self-reported salary and bonus numbers on Glassdoor, the job reviewing site. 

As is the case with other big banks, bonuses can be gigantic at JPMorgan.

For instance, the investment banking vice president salary is reported as $172,902, while bonuses nearly double the annual compensation to a sizeable $337,121.

Who in Russia receives the largest salary

Which of the managers has the maximum compensation? To answer this question, Forbes for the first time compiled a rating of the 25 highest paid CEOs of Russian companies. We limited the study to the 70 largest enterprises by revenue in 2011, excluding state corporations and companies managed by owners (Lukoil, Severstal, Rusal). By reviewing company filings, interviewing more than 10 senior recruiting consultants, and using source information, we’ve obtained an expert assessment of CEO compensation. The final figure takes into account the remuneration that the CEO receives in the company (salary, bonus, percentage of profits) and on the boards of directors of subsidiaries. Possible payments to executives outside of Russia were also taken into account.

In Russia, unlike in Europe and the USA, even public companies do not disclose the amount of remuneration of the head in their reporting. Of the 70 largest companies, only X5 Retail Group fully indicates the annual remuneration of managers. Former CEO of the company Andrey Gusev, who left the company in July 2012, earned a total of $2.9 million in 2011 ($1.02 million salary, $1. 09 million bonus, $0.76 million option program). Gusev did not make it into the top 25 CEOs, the minimum remuneration for rating participants was $4 million.

Who is on top? The top five are heads of exclusively state-owned companies. The rating is headed by Andrey Kostin, President and Chairman of the Management Board of VTB Group. According to experts, he earns a total of about $30 million a year. The total remuneration of key VTB managers in 2011 also amounted to a record $194 million. most likely receives abroad, in particular in Cyprus, where VTB has a subsidiary bank Russian Commmercial Bank (RCB). In 2011, the group’s managers received an additional $40 million from a Cypriot bank in dividends alone.

Income from the Cypriot bank can also explain the annual compensation of $ 15 million, included in the top five of the President of the Bank of Moscow, Mikhail Kuzovlev, he headed RCB until 2008 and today works as one of its directors.

“The leaders of our largest companies, such as VTB or Gazprom, believe that they should earn no less than their Western counterparts,” says a senior recruiting consultant who asked not to be named. Let’s compare VTB with the world giants. Among the leaders of the largest Western banks, James Dimon, the head of JPMorgan Chase & Co, earned the most last year ($42 million). He is followed by Lloyd Blankfein, CEO of Goldman Sachs Group ($21.7 million). But JPMorgan Chase & Co is 10 times the size of VTB Group in terms of assets ($2.3 trillion vs. $230 billion), and the US bank’s net income exceeds VTB’s by more than six times ($19 billion).billion against $3 billion).

The head of “Gazprom” Alexei Miller ranked second in the ranking with an estimate of $ 25 million. And this is a world record, if we talk about the monetary part of the compensation package. ConocoPhillips CEO James Mulva was the highest paid global oil and gas CEO in 2011 with $15. 6 million. In second place was Exxon Mobil CEO Rex Tillerson with $13.9 million. True, unlike Miller, Mulva and Tillerson received a significant part of the remuneration for many years in shares. Tillerson’s stake at the end of 2011 was estimated at $151 million, Malva – at $60 million. Miller’s shares, which he received under the options program in January 2009

Igor Sechin, who headed Rosneft in May 2012, earns as much as Miller, $25 million a year. Experts note that such parity is logical: Sechin and Miller head companies that are comparable in importance to the Russian economy.

But the compensation of the head of Sberbank German Gref – $ 15 million – is two times lower than that of Kostin. In the future, Gref, according to headhunters, will be able to earn several tens of millions of dollars on options. While most of his compensation is additional remuneration, which depends on the profits of Sberbank – under the contract, it can reach up to 0. 075% of net profit. In 2011, Sberbank’s net profit amounted to $10.75 billion. Therefore, Gref could earn almost $8 million additionally.

At the same time, Gref, according to Georgy Abdushelishvili, senior partner at Ward Howell, probably deserved this year’s high remuneration more than anyone else. “Sberbank has become truly international: if the bank used to operate in three countries, now it operates in twenty, and its assets have grown by more than $50 billion,” he notes.

In addition to Gref, according to Abdushelishvili, the head of Gazprom Neft Alexander Dyukov ($8 million) and CEO of Aeroflot Vitaly Savelyev ($2.5 million, not included in the rating) achieved serious success; read the article in the magazine about how he rebuilt Aeroflot). Gazprom Neft painlessly moved its head office from Moscow to St. Petersburg, retained key employees and continued its expansion in the Russian and international markets. Aeroflot took first place in several international ratings, significantly improving not only financial performance, but also the quality of service.

In the top ten, four places went to CEOs of private companies. Sixth — Dmitry Razumov ($12 million, Onexim), eighth — Ivan Streshinsky ($10 million, USM Holding), ninth — Vladimir Strzhalkovsky ($10 million, Norilsk Nickel), tenth — Mikhail Shamolin ($10 million, AFK Sistema “). All these enterprises, by the way, belong to businessmen from the Forbes list. In the ranking of the highest paid CEOs, the only woman is the head of Basic Element Gulzhan Moldazhanova ($4 million, 23rd place).

In general, the salaries of senior managers look much more modest in the market (see the payroll table on page 120). The growth of compensations averaged 15–20% over the past year. Managers of commercial banks began to earn more than others. This happened due to intensive consolidation in the sector, says Artur Shamilov, partner at the TopContact Executive Search agency: “As a result, the income of managers in large banks has grown, while in small ones, which continue to lose business, on the contrary, they have fallen.

Worst of all are investment bankers, whose remuneration remained at the same level as last year. The salaries of heads of trade departments fell (by an average of 15%). Many of the highly paid investment bankers have left the industry, they are moving to commercial banks, starting their own businesses, or simply taking a break. Of the notable appointments, the return of two managers can be noted: Pavel Teplukhin, who worked for almost 20 years at Troika Dialog, headed Deutsche Bank after a two-year vacation, and Ilkka Salonen (International Moscow Bank, Sberbank) became Chairman of the Board of Uralsib Bank.

“While before people agreed to move only with a twofold or even threefold increase in compensation, now they agree to 20-40%,” says Andrey Filippov, partner at Horton International.

Trying to keep investment bankers from changing jobs and risky transactions

Salaries of investment bank employees, severely cut in autumn, are starting to return to pre-crisis levels. At Deutsche Bank and Renaissance Capital, the remuneration of many employees increased by an average of 20% in July. True, in some Western investment banks and their Russian subsidiaries, the growth in salaries is accompanied by a reduction in bonuses.

If before May of this year the level of wages in Russia was falling (the average drop was up to 30%), then with the onset of summer, HR specialists began to note stabilization: there was not a single industry where wages would continue to decline. And in some industries, there has even been an increase in remuneration, experts in the personnel market recently noted in an interview with RB.ru.

The first of the victims

The first of these industries, apparently, was investment banking, which was in the forefront of the “victims” of the crisis last fall. The trend came from the West: for example, at the end of July, the largest US bank, JPMorgan Chase, announced an upcoming increase in salaries for investment bankers. With this step, the bank is trying to compensate employees for the deprivation of bonuses, as required by the US government, which distributes anti-crisis subsidies to banks. In this case, the total amount of payments will not change.

Competitors who set out to stop the “brain drain” were forced to raise wages by management, Bloomberg reports. Among them are Citigroup, which is raising the salaries of the heads of its investment divisions by 50%, investment bank Morgan Stanley, which in May announced an increase in the salaries of a number of top managers, as well as UBS and Merrill Lynch. The Financial Times notes that as a result of these increases in the salaries of leading bankers, they approached 80% of the level of 2007, when there was a boom.

To pre-crisis levels

The wave has also reached Russian investment bankers. As the Kommersant newspaper found out, since July 1, the salaries of some employees of the Russian branch of Deutsche Bank have increased by 15-20%. Growth affected professionals with the lowest salaries, as well as those who received a corporate title last year (VP, Director, Managing Director). “The increase affected all countries with a high inflation risk,” the bank notes.

Earlier, Renaissance Capital also announced a salary increase. Since July 1, salaries at the investment bank and management company have been increased by 20-35%, and in dollar terms they have returned to pre-crisis levels.

But in most investment banks, salary increases are still due to a change in the procedure for calculating bonuses. In the Russian JP Morgan, as well as in the global one, it was decided to change the proportions between bonuses and salaries for employees holding managerial positions – the size of bonuses from January next year will be reduced, and the size of salaries will be increased. In Russia, unlike in the US, the reduction of the bonus part of the remuneration is not a condition of the regulatory authorities. But the bank found a reason to do it voluntarily: so that the desire to receive bonuses would cease to be an incentive for employees to take on big risks.

In his interview for the HiPO Talks project, Guram Andronikashvili, Deputy Chairman of the Board of ForteBank, spoke not only about internal changes for employees, but also about a unique 10-year experience of working “7 days a week” in a top investment bank.

– Guram, when you read about your work experience, it feels like you are James Bond, but in finance. you 9worked for JP Morgan for years, participated in transactions in almost all countries of Eastern Europe. You came to the position of analyst, and left the position of vice president. Can you tell us more about your experience?

— I studied economics at Durham University (UK) and in my penultimate year I began to think about what I want to do in life. It is clear that at the age of 17, when I entered, I had no idea about the business, how to do it or manage it. And only during my studies I realized that I was interested in what would be promising and where I could realize myself.

There were 2 main areas – management consulting and investment banking. In management consulting, you work as a consultant: you come to the company, examine it from the outside and offer your own solutions. This kind of work is very interesting because you always work with companies in various specific industries and you can offer the experience of other companies. You can work with Toyota, FIAT, Ford plants and study their business processes, immediately get the best knowledge from the practice of each of them, so that you can then implement this knowledge at a new plant under construction.

Investment banking is dealing with companies themselves. I was always interested in how companies are financed, how they are valued, how they are sold. How financial markets generally move. For me, as a person who grew up in the USSR and never dealt with such issues, all this was really unusual and interesting.

I have applied my resumes to almost all major investment banks, these are 5-6 top financial institutions that you don’t really distinguish as a student. One of them was JP Morgan. The selection process was very difficult. I recently looked at the statistics – getting into JP Morgan is harder than getting into Harvard, and there are 100 candidates for 1st place in Harvard. I know it’s true. And when you see such competition for work, it becomes a little scary.

The selection is divided into stages: first online testing, then an interview, and then the final tour – Super Saturday is 1 day during which you receive your case, write analytics, prepare your proposals and present the results at the end of the day. You go home and wait for a call. In the evening, after discussions, candidates they like are called and made a job offer.

When I got a call from JP Morgan that evening, I immediately accepted the offer and did not waste time on other interviews.

I started working in 2001, it was the time when the DOTCOM crisis happened, if you remember, all the prices of Internet companies rose very quickly in 1999-2000, and in 2001 everything collapsed very quickly. And this had an impact not only on the Internet industry, but on all markets.

For the first 2 months, the investment bank invests in all candidates, you just pass classes where you are taught the basic skills that are needed to work in investment banking. During this period, testing is carried out every week, and if you do not pass the test, then you leave the company. This is a very stressful situation. My European class had 130 people at the beginning, and by the end of the first year, only 30 remained. Many of the candidates did not want to have the lifestyle that this job requires, many simply could not stand it, and the rest were fired. You can imagine the high level of stress you get when you start at a big company with high expectations and the financial markets around you are crashing and people are getting fired all the time. But this is a good school of survival in any evolutionary system, through which you become stronger.

— If this is what everyone meets at the “entrance”, then what does it mean to work in a leading investment bank?

— When I talk about working at JP Morgan, most people don’t believe it ( laughs ) and take it as an exaggeration. This is simply because, in general, people everywhere have little experience of dealing directly with investment banks.

I’ll try to describe a typical working day. Starting hours of work are 9:00-9:30 in the morning and for the first 2-3 years you work on average until one or two at night, without days off at all. The work is very time consuming. Teams are very small because it is much faster to work in small groups than in large ones. At the same time, all clients are very demanding, and you are working on issues that are really very important for these companies. They are demanding both in quality and in speed of work.

Clients pay a lot of money for the level of analysis, market knowledge, correct alignment of tactics, thinking. We are talking about millions of dollars, and when you pay that kind of money, you expect to get exactly today what you need today. The deadline is tomorrow, even if this analysis could normally take a week.

This was our job, and your circle of colleagues are very experienced people who have achieved a lot in life, were top students at top universities. If you were the best in your university group, in your class at school, and even the best in kindergarten, then when you get into this environment, you suddenly realize that you are such an average, normal person. This is a kind of challenge that moves everyone forward.

In investment banking, you work with executives and shareholders of companies that are leaders in their markets. It’s very interesting when you’re 23-25 ​​years old, you learn how they solve their problems, how they think, how they react to different situations, you get a very rich experience.

At JP Morgan, no matter your age or rank, you are allowed to do what you are capable of doing. If you can lead a big project, you can be trusted to do it. And such responsibility makes you grow quickly professionally.

When I left JP Morgan in 2010, there were only 3 people left in my European class. It is very difficult to work in such a rhythm for 9 years, because it also has an impact on personal life.

— What motivated you to stay for these 9 years? The first time is possible, the salary, but it is only up to a certain level the driver.

– I just realized that where I am is not only my achievement, but also a lot of luck. I have many friends in Georgia who also studied well, they probably had the same opportunities as me, maybe even better than me. But I was just a little more fortunate, and I didn’t want to miss the chances that come with life.

I very often saw people in the West who were not particularly motivated, and this confused me a little. After all, a person born in England has much more chances in life than people who are born in the former USSR. And the fact that you went to a good school in a good country, with a good education, is taken by many as a given. I didn’t want to lose the chance that was given to me. I am an ambitious person in terms of my personal growth and changes, because all the deals that we have done, for example, in Kazakhstan, have had an impact on the market as a whole.

Same for ForteBank: we want to build something new for the market. I’m not interested in doing standard things, I want to change the part of the world that I touch.

— What was the most successful and the most unsuccessful transaction in your experience?

– All transactions that can be read about publicly are successful, as they took place. Unsuccessful projects can be considered in which a lot of preliminary work has been done, but to no avail. What I mean? You invest part of your life, work on a project for 6 months, and at the end of the project they say – it did not work out. In investment banking, that means you’ve wasted 6 months of your life.

Investment bankers are not lawyers who charge by the hour; they only get paid at the end of the project. Bankers work for free until the transaction is completed. If it didn’t close, you didn’t get anything from it for yourself and for your organization. Among my projects, there are almost no successful transactions for the purchase of a bank. 90% of my job was to buy, sell and take banks to the capital markets. We very rarely bought banks, despite the fact that buying a bank and preparing a bank for sale are the same in terms of time costs.

In the beginning, this was frustrating for me – we spent time preparing a deal to buy a bank, but in the end, our final recommendation to the client was to refuse. That is, we say to the client: “We know that you are ready to pay 120 units for the bank, but we do not recommend doing this, because we cannot financially justify this price, and this is important in the interests of your shareholders.” So we very, very rarely bought cans.

But now, looking back at situations 5-10 years ago, I am very pleased that we gave the right recommendations not to buy any assets at an inflated price. After a few years, all this shows up, and in most cases when we recommended not to buy, we were right. Despite our direct financial interest in concluding a deal – after all, then we receive a large commission – we recommended that clients refuse.

Our reputation and the quality of our recommendations were more important to us than short-term financial interest. I try to apply this JP Morgan principle in my life. I think it’s much better to give a frank answer and correct advice than to make one-time transactions.

Leaders often have to say goodbye to people for various reasons. How do you go through such an experience?

— Saying goodbye to employees is always hard on a personal level. Often this happens not at the personal will of the manager, but, for the most part, to fulfill the company’s strategy and due to the deteriorating economic situation. For me, this is always the hardest part of the job.

There are also situations where a person simply does not fulfill the tasks assigned to him. If an employee does not know his business and, even worse, is not ready to invest time and energy to learn and learn new things, then, in my opinion, dismissal is the only option in the interests of the company.

Often such people are aware of their incompetence, but for them this is the norm – “well, it’s okay, I’ve worked this way all my life and I’m going to do it in the future.” For me, this is unacceptable. We live in a rapidly changing world, and each of us must engage in self-development and understand where the sphere in which we work is moving. In addition, there are things that cannot be tolerated – a person can be very smart, ideological, but if he is not honest in relationships and financially, then this is unacceptable for me.

— What is the biggest difference between someone who works in investment banking and a traditional commercial bank or organization?

— The big difference is motivation. In an investment bank, you do not need to persuade anyone and convince anyone to do something. It was possible to call your colleague at 3 am and make an appointment at the office in half an hour, because at 7 am you need to prepare a document for the client. In half an hour he will be in the office. Or, for example, an employee has a wedding, but he needs to attend a meeting with a client, which means that the groom will appear at the end of the wedding ceremony, have time to run to the altar, and then immediately get into a taxi and arrive at the meeting. People do this not under pressure, but because banking initially recruited just such a pool of people – self-motivated and willing to work.

This is the difference between a traditional commercial bank and an investment bank, but this is not a difference between countries or mentality, this is a difference in the type of people and in their motivation. In any organization, people are trying to find a balance between their personal and professional lives, so many organizations need a motivation system for professional growth.

— Tell us about what employees in banks lack in order to implement their ideas, perhaps they have a fear of management or are they guided by the opinion “the initiative is punishable”?

– Lacks initiative and own thinking. But this problem is not only in banks or in Kazakhstan, this problem exists all over the world. It’s easier for people to do what they say. The person will do this every day without realizing if the process is good for the clients or the organization.

Therefore, I always tell my employees – if you see that something needs to be changed, made more efficient to create convenience for our customers – please contact us. If I am in charge of marketing, it is clear that the marketing people themselves must be thousands of times better than me. My task is to understand the tasks, listen to the options and try to help them make the right decision.

– ForteBank is now actively developing new interesting products, wants to change the market. Are you doing this with your current team, or are you bringing in new people with a “fresh” eye?

– We do not divide people into a new or old team, we proceed from the ability of a specialist to complete a task. To perform tasks and processes typical for a bank, which have been working the same way for decades, for example, organizing a credit file, people are required not with new thinking, but with extensive experience. Other tasks, for example, to build a modern CRM in a bank, are a new task, and a new person is required to complete it.
