How much will the former head of IBM earn when he retires?

In September, Sam Palmisano announced that he would be leaving IBM at the end of this year and retiring. Recall that in 2011 he handed over powers to the new CEO of Virginia Rometty (the first woman to lead the company in its entire hundred-year history), while he himself remained as chairman of the board of directors. Palmisano will work in retirement – at IBM , but as a consultant, reports Wall Street Journal .

The salary that Palmisano will receive for his new job will be more than attractive: for 4 hours spent on consultations, he will earn $20,000. That is, hypothetically, Palmisano can earn $ 400 thousand a year, working 4 hours for only 20 days. That’s double what his predecessor as IBM chief consultant (and IBM CEO) Louis Gerstner was earning. Palmisano’s contract is open, it does not specify how many days a year he must devote to work. Gerstner’s ten-year contract expires in March.

Many former senior executives of large companies often take advantage of this golden opportunity to remain as consultants. This is also beneficial for the company, in general: the change of leadership is smooth and painless, experienced managers do not go to competitors and do not poach key specialists. In addition, this is a way to avoid all sorts of unpleasant situations that may lead to legal action against the company. The practice of consulting has been taking place in companies since about the 70s of the last century.

    Specifics of contracts with consultants

Some contracts even cover “out of the box” situations, such as the death of a consultant. A great example is the Philip Powell treaty. Powell stepped down as CEO of First Cash Financial Services in 2005. And his contract with the company stipulated that if the consultant died during 2011, the company would have to pay compensation to his loved ones. However, 62-year-old Powell, who is actively fighting illegal insider trading in the United States, is still alive and well.

In the meantime, some investors are worried about this controversial type of income for former managers. In particular, this may indicate that the company itself decided to unobtrusively get rid of the head. Specifically among CEOs, according to the Wall Street Journal, this type of employment has been losing popularity in recent years, but at the same time it is rapidly gaining it among other top managers.

Over the past five years, 16 ex-CEOs of major US companies have earned an average of $500,000 in consulting fees, analysts at Equilar Inc. write in a study. However, since 2007, the trend has been for ex-chiefs of finance or leading lawyers to continue to advise, according to Theo Francis, an independent researcher who studied 300 relevant agreements specifically for the Wall Street Journal. At the same time, Francis notes, only a small part of the contracts stipulate the conditions for the minimum workload of consultants.

Kimberly-Clark, for example, guarantees its ex-CEO Ian Spencer, who worked for the corporation for over 30 years and left in June of this year, a quarterly salary of $50,000 until mid-2014. The maximum possible number of working hours is 200 per year. As Ian Spencer himself says, he worked about 50 hours this summer alone, advising former colleagues on helping the European team with planning.

One of the most important reasons for introducing the practice of consulting is, of course, the smooth transfer of powers of the ex-CEO to his successor. The consultations proved extremely useful during the first months of the new Phoenix CEO, James Ver. “Donna Young has been a great help in getting me up to date – both inside and outside the company,” Ver says.

Former Boeing CEO Scott Carson earned $1.5 million in two years. According to the contract, he was supposed to work no more than 75 hours a month, but it never reached this maximum. And for the last six months of his consulting career, he practically did not work, but he received compensation in full. The company said that getting new CEO Jim Albau up and running took less time than expected.

    Useful practice or disturbing trend?

Experts are concerned about one point: it’s good when the former head of the company goes through a difficult transition period and does not take all his many years of experience with him, but transfers it to the new team. But it’s a completely different matter if it’s just a way to covertly pay large severance pay.
