Toshiba/Westinghouse crisis. Continued – Nuclear Monitor

Story Starts Here

NM845.4653 The Nuclear Monitor is monitoring the Toshiba/Westinghouse crisis in anticipation of its end and because we feel it is important to record these events. The final may well turn out to be dramatic, but is unlikely to be reached soon. Toshiba Corporation of Japan and its US subsidiary Westinghouse are engaged in complex negotiations over restructuring options, including the sale of profitable parts of the business, to avoid bankruptcy. The fate of Westinghouse’s four AP1000 reactors is also slowly being resolved.

From Toshiba’s and Westinghouse’s point of view, the best course of action would be for both companies to survive, albeit with painful layoffs. They also hope that the construction of the AP1000 reactors in the US will be completed, although the fate of this project is not in their hands. Even the best-case scenario (from the point of view of companies) has already taken a toll: a multibillion-dollar over-budget for building reactors in the United States and the virtual collapse of the nuclear industry giants will have a chilling effect on the world’s nuclear power industry for decades to come.

Toshiba

On May 15, Toshiba announced that it estimated total net losses for the fiscal year 2016-2017 ended March 31 at 950 billion yen ($8. 6 billion). 1 But this figure is not based on audit data, as the company and its auditor PricewaterhouseCoopers (PwC) still have not reached an agreement on the company’s financial reporting for overbudget construction of four AP1000 reactors in the US.

In addition to an unresolved dispute over Toshiba’s accounting for cost overruns for building the AP1000 reactors, it is not known how much the company will have to pay US businesses involved in building the reactors, which also makes it difficult to accurately assess its financial position. Westinghouse’s filing under Section 11 of the US Bankruptcy Act further complicates the process. Nikkei Asian Review reports: “Itself filing for Chapter 11 bankruptcy slows down the process. Westinghouse wants to approve a remedial plan by the end of July that will set the size of Toshiba’s losses. This will enable PwC Aarata to expedite the audit process.” 3

Toshiba’s attempts to find a new auditor to replace PwC Aarata were unsuccessful. Finding a new auditor to approve the statements for the past financial year, despite the fact that a large audit company refused to approve these statements, turned out to be, as expected, impossible. 4

So Toshiba plans to work with PwC Aarata on the March 2016 to March 2017 accounts and then look for a new auditor. Nikkei Asian Review reports: “PwC Aarata has agreed to audit Toshiba’s earnings only if certain conditions are met, including further investigation into Westinghouse’s problems. These issues may take some time to resolve. It is likely that Toshiba will apply to the Financial Services Agency for an extension of the reporting deadline. Insiders report that the final report may not be ready until September at the earliest.” 5

One of Toshiba’s many woes is that its efforts to sell its lucrative NAND flash business are being thwarted by a Western Digital joint venture. US-based Western Digital said on May 14 that several subsidiaries of its controlled maker SanDisk filed with the International Chamber of Commerce seeking arbitration over its flash memory joint ventures with Toshiba. 1

Western Digital wants to increase its stake in NAND development, but the price tag for it is, according to Bloomberg columnist Nishi Gopalan, “unbelievably low.” 6 On May 29, Gopalan wrote: “Western Digital has cornered Toshiba. It has sued the Japanese company in the International Court of Arbitration of the International Chamber of Commerce and is preventing Toshiba from using its shares as much-needed collateral for a 700 billion yen loan. Subsequently, Western Digital softened its conditions, but the position is indicated: there will be no sale without its participation. 6

Arbitration between Western Digital and Toshiba could drag on for a year or more. 7 But Toshiba doesn’t have that much time to get its affairs in order. It needs to restore its financial position and submit an audited financial report to avoid delisting on the stock exchange, as a result of which the current position of the company could become much worse, even irreparable. Probably, the issue of selling NAND will be resolved through negotiations. 8

In an article entitled “Toshiba: From Nuclear Renaissance to Nuclear Nightmare,” market analyst Venkat Subramaniam notes that the company faces “significant risks on many fronts: the risk of delisting from the Tokyo Stock Exchange, the threat sales of NAND, banks cut off the oxygen, the auditor does not want to sign the report and the high probability of additional financial obligations from Westinghouse. 9

An increasing number of Toshiba subsidiaries and affiliates are withdrawing funds from their parent company to minimize risk and appease shareholders. 10

According to Associated Press on May 31st, 20 lawsuits have been filed against Toshiba in Japan by banks, individuals, foreign investors and others seeking damages totaling 50 billion yen ($455 million). 11

Masashi Goto, a former Toshiba reactor containment engineer, told Associated Press that a nuclear reactor can be compared to an infirm patient who must be cared for and eventually properly buried – burdensome, drawn out for decades, and even centuries, a task. “Even after Fukushima,” he said, “Toshiba’s leadership lacked the wisdom to change course.” 11

Westinghouse

Mark Marano, chief operating officer of Westinghouse, said on May 23 that Toshiba has “made the market quite clear” about its desire to sell a controlling stake in Westinghouse. 12 The sale of Toshiba’s 90% stake in Westinghouse “may materialize in the fall as we move further into the Article 11 process,” Marano said. 12

However, earlier attempts to sell Westinghouse have failed, and subsequent attempts are unlikely to succeed unless it is given away for next to nothing (Toshiba chief executive Satoshi Tsunakawa noted in mid-March that Toshiba may have to pay the buyer to sell Westinghouse off hand 13 ) and/or crushed into small pieces. The lucrative parts of Westinghouse’s operations are sure to find buyers.

Westinghouse is set to submit its business plan to the bankruptcy court in July, but approval of the plan, according to development director David Howell, can be expected “a few months later. 12

Westinghouse CEO José Gutíerrez said May 24 that the company is not going to abandon reactor development and will continue to develop sales opportunities in China, India, Turkey and the UK. 14 Of course, he could wishful thinking.

Gutierrez says Westinghouse is developing a “more affordable supply model” to reduce risk. 14 The company hopes to remain in nuclear engineering and procurement, instrumentation, and fuel supply, but will no longer take on reactor contracts similar to the AP1000 projects that forced the company to seek bankruptcy protection. “Construction is not our forte, and based on a risk assessment, we were determined never to do it again,” Howell said. 15

The company is also having difficulty retaining qualified personnel, and the lack of such is part of the reason for the failure of the AP1000 reactor projects in the US, and the failure of these projects, in turn, will exacerbate the personnel situation. In April, 75 former Westinghouse senior managers were notified that the company would stop paying them pension contributions, a move that was unlikely to attract high-quality employees. 16 According to Reuters of May 25, some of the former managers may be suing Westinghouse. Former Westinghouse CEO Steve Tritch told Reuters that the company will struggle if it doesn’t develop a plan to retain top talent. 16

The situation was exacerbated by the lockout at the plant in Newington, New Hampshire, where 170 workers were suspended from work on May 21st. Westinghouse wants to force workers to sign a new contract that freezes wages for three years and severely reduces health care, pensions and severance pay. 17 According to Newington plant worker and union leader Duane Egan, the union is willing to forego wage increases, but the company’s proposed deal “takes away almost all of our social benefits and we can’t go along with that. 18 The two-week lockout ended on June 5 with a compromise on the terms of the employment contract. 19

The Newington plant manufactures the AP1000 pressure vessel and parts. It currently manufactures casing parts and cooling pumps for AP1000 nuclear power plants under construction in Georgia and South Carolina. 18

Other unions are expected to file complaints with Westinghouse in the coming months. Union members say the company is trying to equate unionized workers with non-union workers who have faced pension freezes, severance pay cuts and rising health care costs in recent months. 18 According to company filings, Westinghouse employs 713 union members, a fraction of the company’s 11,500 employees worldwide. 18

Westinghouse’s nuclear fuel fabrication plant in Columbia, South Carolina, was also affected. After accumulated uranium was found in an air pollution control device, leading to the closure of part of the facility for several months, the Nuclear Regulatory Commission discovered another violation involving the same equipment. The commission will conduct a full inspection of the plant’s operation annually, and not once every two years, as was previously done. 20

Westinghouse’s problems continue to mount. Pittsburgh Post Gazette reported June 6: 21

“In new company documents Westinghouse 900 19 finds a long list of lawsuits, including those related to its reactor construction projects AP 1000. Conflicts are also mentioned, which at some point may lead to new claims, including accusations of non-compliance with the terms of the company’s contract Curtiss Wright Electro Mechanical Corp . reactor cooler. Defects found in pumps supplied to Westinghouse reactors under construction in China and the US AP 1000 slowed down the implementation of these projects.

Company Westinghouse indicated that it was considering taking action against a Japanese parent company, Toshiba Corp ., for breach of contract. Westinghouse also disclosed that it received a subpoena from the Securities and Exchange Commission in March, a year after Toshiba confirmed that a federal agency was investigating possible fraud in its financial statements.

I am staying 6 nichts in Pungwe Dec 2021.

the staff led by Tracey and Wesley are amazing, the food prepared by Sharon, Patience and Lucky was absolutely amazing.
I hate clumsy game discs from Never and Wonder Boy.
2 days later I saw a magnificent seven. I’ve seen Darkmain, Thalamati’s, Pungwe pack, Thalamati breakaway pride, male imbali S8, Shaseka and Cub and so much more.
I hope to be back soon

The staff were absolutely amazing. They served Halal and provided alternative options when they served pork meat. They never once made me feel like I was asking for too much or being difficult. Even after the last minute of the update, I was unable to have animal milk. New trigger for my migraine. Violets food was exceptional, the other ladies were absolutely lovely. The Neva was great in the bushes and the Wonderboy was fantastic as our tracker. All the men and women were very helpful and kind and made you feel like you were always there. When Graham asked for some chili chips for me, Michelle brought them.
The accommodation was wonderful, just the whole place was made to feel calm and safe. Thanks for everything you provided.

Shhhhhh, don’t tell anyone about this magical place where a safari is all about what a safari should be: high in sightings, quality and comfort, but few pointless frills and distractions factors such as Wi-Fi. Great value for money in a unique unfenced and off-grid cozy campsite. Came here for a deep dive in Manyeleti and enjoy a trip for a couple of days. You will feel like you have everything for yourself and you will rarely run into another vehicle from another camp big enough to disappear. Bring some great friends you need to catch up or family. This is truly an amazing place to connect and calibrate.
